STATUTORY AND GENERAL INFORMATION

DOCUMENTS AVAILABLE FOR INSPECTION
Copies of the following documents may be inspected at the offices of the financial adviser at 163/165 Broad Street, Lagos during normal business hours weekdays, except on public holiday.

    a) Certificate of Incorporation of the Company
    b) Memorandum and Articles of Association of the Company
    c) Copy of Board resolution authorizing the offer
    d) Copy of the Private Placement Memorandum in respect of the offer
    e) Letter of Consents of all Directors and parties to the offer
    f) Copy of Solicitors and Reporting Accountants to the offer.

CLAIMS AND LITIGATION

Benin Investment and Development Company Ltd (BIDCO) is a newly incorporated company and as at the date of printing this Private Place Memorandum the company has no claim and litigation either arising at the pre-incorporation stage, before and during the period of the issuance of this Private Placement Memorandum.

The Directors of BIDCO share this view above.

MATERIAL CONTRACTS

A Vending Agreement under the terms of which Foresight Securities and Investment Limited has agreed to offer via a Private Placement of 2,100,000,000 ordinary shares of 50k each in Benin Investment and Development Company Plc (BIDCO) was entered into. The agreement is considered material to this Private Placement.

Other than as stated above, the company has not entered into any other material contract.

POLITICAL RISKS

Nigeria is under democratic rule and therefore guided by the rule of law. The policies and procedures adopted by the present Government is geared toward a vibrant private sector led economy that should be sustained. These policies and procedures would militate against any perceived political risk arising from actions or inaction of a foreign or domestic government or a third party country which affects private businesses.
